1.1 Binding Agreement. These Terms of Service / Terms & Conditions (the “Terms”) constitute a legally binding agreement between you (“you” or “User”) and Zarton Ai governing your access to and use of the Site and any related content, features, tools, software, products, or services made available by Zarton Ai through the Site (collectively, the “Services”).
1.2 Acceptance. By accessing or using the Services, creating an account, clicking an acceptance box, or otherwise indicating assent, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Services.
1.3 Eligibility. You represent that you are at least the age of majority in your jurisdiction and have the legal capacity to enter into these Terms.

5.1 Purchases. If you purchase any product or service through the Site (a “Purchase”), you agree to provide valid payment and billing information and authorize us (and our payment processors) to charge your chosen payment method.
5.2 Payment Authorization. You represent and warrant that you have the legal right to use the payment method provided.
5.3 Taxes. Prices may not include applicable taxes unless stated otherwise. You are responsible for any applicable taxes, duties, or governmental assessments.
5.4 Refunds/Returns. Refunds and returns, if any, are governed by any applicable refund/return policy posted on the Site or provided at checkout.

7.3 User Content License. You retain ownership of your User Content. You grant Zarton Ai a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for formatting/technical purposes), display, and distribute your User Content solely as necessary to operate, maintain, and improve the Services and to comply with law.
7.4 Feedback. If you provide suggestions or feedback, you grant Zarton Ai the right to use it without restriction or compensation.
The Services may contain links to or integrations with third-party websites, tools, or services. Zarton Ai does not control and is not responsible for third-party content, policies, or practices. Your use of third-party services is at your own risk and may be subject to third-party terms.
9.1 “AS IS” and “AS AVAILABLE.” THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZARTON AI DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
9.2 No Guarantee. ZARTON AI DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT WILL BE ACCURATE, COMPLETE, OR RELIABLE.
9.3 Informational Purposes. Any information provided through the Services is for general informational purposes only and should not be construed as professional advice (including legal, financial, medical, or other regulated advice). You are responsible for obtaining professional advice as appropriate.
10.1 Exclusion of Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL ZARTON AI OR ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.2 Cap on Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZARTON AI’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ZARTON AI FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
10.3 Basis of Bargain. You acknowledge that the limitations of liability in these Terms are a fundamental basis of the bargain between you and Zarton Ai.
10.4 Exceptions. Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for certain damages. To the extent such restrictions apply, some of the above limitations may not apply to you.
You agree to defend, indemnify, and hold harmless Zarton Ai and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your User Content; or (c) your violation of these Terms or applicable law.
12.1 Termination by You. You may stop using the Services at any time.
12.2 Termination by Us. We may terminate or suspend your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms or if we discontinue the Services.
12.3 Effect of Termination. Upon termination, your right to use the Services ceases immediately. Sections that by their nature should survive termination will survive (including Sections 7–13).
These Terms and any dispute arising out of or related to these Terms or the Services will be governed by the laws of the State of California and applicable U.S. federal law, without regard to conflict-of-law principles. You agree that any legal action or proceeding will be brought exclusively in the state or federal courts located in California, and you consent to personal jurisdiction in those courts.
14.1 Entire Agreement. These Terms constitute the entire agreement between you and Zarton Ai regarding the Services and supersede all prior or contemporaneous agreements.
14.2 Severability. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
14.3 No Waiver. Failure to enforce any provision is not a waiver of that provision.
14.4 Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
14.5 Headings. Headings are for convenience only and do not affect interpretation.
